Private Equity Firms Buying Companies With $2M to $5M of EBITDA

147 firms profiled · Updated October 26, 2026

Companies with $2 million to $5 million of EBITDA sit at the heart of the lower middle market, and they draw the widest range of buyers. Many private equity firms make their first investment in a sector at this size and then build around it with add-ons. Larger platforms buy companies this size as significant add-ons, and family offices and independent sponsors compete as well.

Buyers at this size expect more than a well-run owner-led business. They look for a management team that can operate without the founder day to day, financial statements that will hold up to a quality of earnings review, a diversified customer base, and a credible plan to grow. Recurring or contracted revenue, steady margins and a clear position in a local or niche market all help.

Deal structures vary. A common shape is a majority sale with the owner rolling part of the proceeds into equity in the new company, which gives the owner a second payout if the buyer later sells at a higher value. Some deals include earnouts tied to future results, and most include a transition period for the founder.

For an owner, the most useful step is to understand which buyers see your company as a platform and which see it as an add-on. Platform buyers usually expect you or your team to lead the next phase; add-on buyers usually fold the company into something larger. Both can be good outcomes, but they are very different experiences.

Preparation time is well spent at this size. A sell-side quality of earnings review, an organized set of documents and a written plan for the next three years can shorten diligence by weeks and reduce the risk of price changes after a letter of intent is signed. Buyers notice owners who have done this work, and it often shows up in the terms they offer.

Greymont is paid by buyers, never by owners. We can show you which of the firms below are active at your size and in your sector.
