What Hidden River Strategic Capital buys
Hidden River Strategic Capital, based in Radnor, Pennsylvania, does not buy control of companies. It offers what it calls structured capital: a tailored package of debt and equity, such as a loan paired with convertible preferred stock, for small businesses whose managers own and run them. The money can pay for expansion, an acquisition, refinancing or a partial cash-out for shareholders. Its first fund, Hidden River Strategic Capital I, closed on $245 million in June 2023 as a licensed SBIC, and it made its tenth platform investment in May 2026.
Each investment runs from $7.5 million to $25 million. It looks for U.S. companies with at least $10 million of revenue and roughly $2 million of EBITDA or more, gross margins of 30% or better and EBITDA margins of 10% or better. It has no set industry list; current holdings range from portable toilet and dumpster rental to commercial landscaping, senior living management and conduit manufacturing. It often invests beside another firm, such as Taurus Capital Partners or Valesco Industries, which can be how a smaller owner first meets it.

Greymont’s take
How Hidden River Strategic Capital fits a seller
Hidden River suits an owner who wants money for growth, an acquisition or a partial payout but does not want to sell the company. Management keeps control and keeps running the business, while Hidden River puts in a blend of debt and equity instead of buying a majority. At Restoration Alliance the family CEO stayed in charge after the recapitalization, and Northstar remains owned and led by its managers after the Alta merger.
The trade-off is that part of the money is debt that has to be serviced and repaid, and the equity piece gives Hidden River a share of future gains. Owners should ask how the package splits between debt and equity, what the interest and repayment terms are, and how and when Hidden River expects to be paid back or bought out. Because it often invests beside another firm, they should also ask who will hold control.
Questions owners ask
Will Hidden River buy a majority of my company?
No. Its stated criteria call for non-control investments that combine debt and equity, and it says the managers who own the business keep owning and running it after it invests.
How big a company does Hidden River look for?
It invests $7.5 million to $25 million per deal in U.S. businesses with at least $10 million of revenue, about $2 million or more of EBITDA, gross margins of 30% or more and EBITDA margins of 10% or more.
Does Hidden River invest in waste or environmental services companies?
Yes. In July 2025 it invested in ProSite Services, a Wilmington, North Carolina provider of portable toilets and dumpster rentals, which its 2025 newsletter lists as one of its two new platform investments that year.
What can the money be used for?
Its site lists expansion capital, acquisition financing, refinancing existing debt and liquidity for shareholders. Somersault, for example, used Hidden River's backing to buy six The Little Gym locations in California in February 2026.
