What Cyprium Partners buys
Cyprium Partners is a Cleveland firm, with an office in Chicago, that has made non-control investments in founder, family and management-owned companies since 1998, putting about $2 billion into more than 100 businesses. It does not buy companies outright. It provides $5 million to $60 million of subordinated debt, preferred equity, minority common equity or a mix, so the owners keep the board and the day-to-day decisions. It looks for profitable U.S. or Canadian companies with at least $4 million of EBITDA and roughly $20 million to $300 million of sales, mostly in manufacturing, distribution, business services, food and healthcare.
There are two pools of capital. Cyprium SBIC I, which held its final close above $190 million in February 2025, writes checks of $5 million to $15 million for companies earning $4 million to $10 million of EBITDA. Cyprium Investors VI handles $10 million to $60 million deals for companies earning $10 million to $40 million. Common uses are buying out a partner, funding an acquisition, an ESOP or a management buyout, or backing an independent sponsor's purchase.

Greymont’s take
How Cyprium Partners fits a seller
Cyprium is not a buyer for an owner who wants to sell the whole company. It suits owners who want some cash out, need to buy out a partner or relative, want money for an acquisition, or plan to pass the business to managers or employees through a management buyout or ESOP, all without giving up control. Much of its capital is debt or preferred stock with a set return, which limits dilution but adds leverage to the balance sheet. It usually gets repaid when the company refinances or is later sold. Many recent deals back an independent sponsor buying a family business, as with Rottler, where the third-generation owner kept a stake. Owners should ask what return and repayment terms the securities carry and what approval rights Cyprium expects as a minority holder.
Questions owners ask
Does Cyprium take control of the companies it invests in?
No. It only takes non-control positions through subordinated debt, preferred equity or minority common equity, so the existing owners keep economic, operating and board control of the company.
How large a company does Cyprium look for?
It wants profitable U.S. or Canadian companies with at least $4 million of EBITDA and about $20 million to $300 million of sales. Its SBIC fund covers the $4 million to $10 million EBITDA range, and its main fund goes up to $40 million.
How does Cyprium get its money back?
Its FAQ describes two usual exits: the company grows, pays down senior debt and refinances Cyprium's securities with cheaper bank debt, or the majority owners sell the company and the buyer replaces the whole capital structure.
How long does a Cyprium investment take to close?
Cyprium tells well-prepared companies to expect about 45 to 60 days, covering an outside quality of earnings review and legal documents. It can also help line up a senior lender or work with the current bank.
