What The Cambria Group buys

Cambria is a Dallas investment firm, started in 1996, whose principals buy small, established companies with their own money rather than from a fund. When it leads a deal it looks for a business with under $50 million of revenue, a value under $25 million and at least $1 million of annual operating earnings (EBIT), and it invests up to $5 million of equity for a control or shared-control stake. Bigger deals are done with co-investors. It is open to almost any industry, from manufacturing and distribution to services, multi-site healthcare and software, but it avoids startups, turnarounds and businesses exposed to heavy regulation or fast technology change.

Cambria says it has backed more than 300 platforms and hundreds of add-ons in over 40 states and Canada. Besides leading buyouts, it backs search fund entrepreneurs and independent sponsors and co-invests with other firms, so a small business may first meet Cambria as the investor behind a searcher.

Greymont’s take

How The Cambria Group fits a seller

Cambria is a good match for the owner of a profitable small company, with roughly $1 million or more of operating earnings and a value under $25 million, who wants a buyer that does not answer to a fund. The principals invest their own money, can hold a company for a decade or longer, and say they have closed every letter of intent they have signed since 1996. They often want the seller to stay involved after closing, in an operating role, as a part-time adviser or on the board.

Because Cambria also supports 35 to 45 search fund entrepreneurs at a time, an owner may meet it as the backer behind a searcher rather than as the direct buyer. Owners should ask who will run the company after closing, and whether Cambria is leading the deal or co-investing with others.

Questions owners ask

What size business does Cambria buy?

When it leads a deal, Cambria looks for companies with under $50 million of revenue, a value under $25 million and at least $1 million of operating earnings (EBIT), and it invests up to $5 million of equity. Larger deals are done with co-investors.

Does Cambria back search funds?

Yes. Its principals have backed more than 200 traditional search funds and invested in over 110 businesses bought by searchers, and they usually work with 35 to 45 active searchers at any one time.

Does the seller have to leave after a Cambria deal?

No. Cambria often prefers that sellers stay engaged after closing, whether in a functional role such as sales, as a part-time consultant or on the board, with the role agreed by both sides.

How long does Cambria hold its companies?

Holding periods generally run three to ten years, and Cambria has kept some companies for more than 20 years. Because its principals invest their own capital, it is not tied to a fund with a fixed life.
