What Sounder Partners buys
Sounder Partners is a Dallas investment firm that launched in June 2025. Its founder, Nick Miner, was previously a managing director at Trive Capital. Sounder buys founder-led companies that provide essential, non-discretionary services to commercial and industrial customers, in five areas: infrastructure and utilities, fleet and transportation, buildings and facilities, safety and compliance, and industrial equipment and services. It wants companies based in the United States or Canada with more than $1.5 million of EBITDA, margins above 10%, recurring revenue and long customer relationships.
Sounder mostly takes control and builds platforms through add-ons, where it has no EBITDA minimum. It passes on mostly residential or consumer businesses, project-only construction firms, companies with more than 30% of revenue from one customer, and technology or early-stage companies. Its first platform, Uptime Fleet Services, offers mobile and in-shop truck and equipment repair and has bought three fleet maintenance shops in California and Arizona. A small fleet repair business is most likely to meet Sounder as an Uptime add-on.

Greymont’s take
How Sounder Partners fits a seller
Sounder fits owners of commercial fleet repair, mobile diesel service and similar essential service businesses who want a buyer with operating experience; the team says it brings more than 200 years of combined experience running companies like these. Right now a sale to Sounder most likely means joining Uptime Fleet Services, which has added shops in Sacramento, Temecula and Prescott Valley and says more deals are on the way. Sounder says it gives its companies room to make long-term decisions instead of chasing a quick return.
Sounder is a young firm with one platform, and it has not announced a fund. An owner should ask where the equity for the deal will come from, how much of the business they would keep or roll into Uptime, and what would change for their brand, staff and back office after closing.
Questions owners ask
What size business does Sounder Partners buy?
Sounder looks for companies with more than $1.5 million of EBITDA and EBITDA margins above 10%. It has no EBITDA minimum for add-ons to an existing platform or for a buy-and-build plan it feels strongly about.

It passes on mostly residential or consumer-facing businesses, construction or project work without recurring revenue, companies that get more than 30% of revenue from a single customer, and technology, people services and early-stage companies.
