What Rotunda Capital Partners buys

Rotunda Capital Partners works from offices in Bethesda, Maryland and Evanston, Illinois. Since 2009 it has backed family and founder owned companies in three areas: distributors that add services to what they sell, logistics firms that own few heavy assets, and industrial and business services. Its companies include pipe, fluid power and machinery distributors, crane and material handling service firms, garage door, waterproofing and backup generator installers, and two automotive service businesses: AirPro Diagnostics, which calibrates driver assistance systems for collision shops, and Paceline Companies, which reconditions vehicles for dealers and fleets.

It looks for companies worth $50 million to $400 million or more, with up to $50 million of EBITDA for a new platform and no size floor for add-ons. It takes control but wants the founding family to keep roughly 20% to 40% of the equity, often in the company's first institutional deal. It closed its $735 million Fund IV in May 2025 and reports $1.7 billion under management. Smaller companies usually meet Rotunda as add-ons to platforms such as Door Pro America, Canter Power Systems or Trafera.

Greymont’s take

How Rotunda Capital Partners fits a seller

Rotunda suits a family or founder who wants to take money off the table but also wants to stay invested and keep growing the business. The firm asks owners to roll a meaningful stake, usually 20% to 40%, into the same security it buys, and it sets aside option pools for key managers. Its platforms buy often: Door Pro America, Canter Power Systems, RMH Systems and Value Added Distributors have all bought family businesses since late 2024, and prior owners often stay in charge, as at American Garage Door Systems, NSL Aerospace and KC Robotics.

Owners of IT service or collision-related businesses can look at Trafera, which bought a managed services provider in September 2026, and AirPro. Before signing, ask how long Rotunda expects to hold the platform you would join and how your rolled equity is treated when that platform is sold.

Questions owners ask

How much of my company would I keep if Rotunda invests?

Rotunda's criteria say it wants family and founder owners to keep a meaningful stake, typically 20% to 40% of the equity, held in the same security as the firm's own investment.

How large a company does Rotunda look for?

It invests in private businesses with enterprise values of about $50 million to $400 million or more, with up to $50 million of EBITDA for a new platform. Add-on acquisitions for its existing companies can be any size.

Does Rotunda invest in automotive service or IT service businesses?

Within its industrial and business services focus, yes. It bought AirPro Diagnostics, which calibrates driver assistance systems for collision repairers, in February 2025, lists vehicle reconditioner Paceline Companies as a 2025 investment, and its K-12 technology company Trafera bought IT provider Morris Electronics in 2026.

Which fund is Rotunda investing from?

Fund IV, which closed in May 2025 with $735 million of commitments, well above its $550 million target. Its first investment was Capital Machine Technologies, a Tampa distributor and servicer of metal fabrication machinery.
