What Everberg Capital buys
Everberg Capital is a New York firm, formed in 2019, that puts non-control capital into US middle market companies instead of buying them. It invests across the capital structure: senior and unitranche loans, last-out and second-lien loans, holding company notes, mezzanine debt and preferred equity, sometimes with interest paid in kind. The money funds acquisitions, buyouts, growth, recapitalizations and refinancings. Most deals back a private equity sponsor, but it also works with family and founder-owned companies and offers its capital as an alternative to a control sale. Its four sectors are healthcare, business services, consumer and industrials.
It looks for $5 million to $75 million of EBITDA and invests up to $350 million per deal before co-investors, usually taking a board or observer seat. A founder-owned business would most likely work with Everberg through a minority recapitalization, like the convertible preferred equity it put into Allied OMS in June 2025, or a loan that refinances debt and funds growth, as with Dyne Hospitality Group in April 2026.

Greymont’s take
How Everberg Capital fits a seller
Everberg is not a buyer, so it suits a different kind of owner: one who wants cash or growth capital while keeping control, or a sponsor-backed company that needs a junior layer of financing for an acquisition. Its preferred equity and junior loans let an owner raise money without selling a majority stake, and the firm says it takes board or observer roles rather than running the business. It also says it is willing to add capital when a company hits a rough patch.
Most of its recent deals support a private equity buyer, such as the loans behind Liberty Hall's purchase of Paxia and Lorient Capital's purchase of PeterMD, so many owners will meet Everberg as part of their buyer's financing. An owner taking Everberg money directly should ask what return the security is priced to deliver, when it must be repaid or redeemed, what happens if targets are missed, and what board rights come with it.
Questions owners ask
Does Everberg Capital buy companies?
No. It provides non-control capital such as senior and junior loans, holding company notes and preferred equity. It often helps finance a private equity firm's acquisition, and it also offers family-owned companies an alternative to a control sale.
What size company does Everberg work with?
It targets companies with $5 million to $75 million of trailing twelve-month EBITDA and invests up to $350 million in a single transaction, not counting co-investors.
Has Everberg funded roofing or dental companies?
Yes. It financed Saw Mill Capital's residential re-roofing platform in 2023 and added preferred equity in 2025, lent behind Bertram Capital's purchase of Ridgeline Roofing in 2024, and has backed Dental Care Alliance and the oral surgery group Allied OMS.
