What Harvest Partners buys

Harvest Partners is a New York firm, founded in 1981, with more than $20 billion under management. It puts equity into larger middle market companies through two strategies. Private Equity buys control of businesses with $30 million to $300 million of EBITDA, $100 million to $3 billion of revenue and values of $300 million to $5 billion. Structured Capital, started in 2014, never takes control: it invests $50 million to $400 million in companies with $25 million to $300 million of EBITDA, usually as preferred equity, convertible preferred or common stock, often next to another sponsor or a founder. Both target business, industrial, commercial and consumer services and healthcare services. A separate Credit strategy lends and is not covered here.

Recent Private Equity platforms include Integra Testing Services, The Learning Experience and Med-Metrix. Structured Capital has backed three solid waste companies: Meridian Waste, Interstate Waste Services and Best Trash. Smaller owners will usually meet Harvest through one of these portfolio companies.

Greymont’s take

How Harvest Partners fits a seller

Harvest fits owners of large services businesses, including families who want to take money off the table without giving up control. Its Private Equity strategy buys control and usually keeps management as significant owners, as at Integra and The Learning Experience. Structured Capital offers minority recapitalizations that let owners keep control while taking partial liquidity, and it often invests next to another sponsor. Waste owners should note it has backed three solid waste platforms since 2023: Meridian Waste, Interstate Waste Services and Best Trash.

The size floor is high, at $25 million of EBITDA for Structured Capital and $30 million for Private Equity, so smaller companies will usually sell to a Harvest portfolio company instead. An owner considering Structured Capital money should ask how the preferred return builds up each year, and what the payout looks like if the business is sold early.

Questions owners ask

What is the difference between Harvest's Private Equity and Structured Capital strategies?

Private Equity takes control of companies with $30 million to $300 million of EBITDA. Structured Capital never takes control; it invests $50 million to $400 million in companies with $25 million to $300 million of EBITDA, mostly through preferred equity, convertible preferred or common stock.

Does Harvest invest in waste companies?

Yes, through Structured Capital. Its portfolio lists Meridian Waste in the Southeast (July 2023), Interstate Waste Services in the Northeast (September 2025) and Best Trash in the South-Central US (May 2026) as current investments.

Can an owner keep control and still take money from Harvest?

Yes. Structured Capital offers minority recapitalizations designed to let owners keep control while taking significant proceeds and extra growth capital. It also funds acquisitions as an alternative to issuing more common equity.

What is Harvest's latest private equity fund?

Harvest Partners IX closed in November 2023 with $5.34 billion of commitments, above its $5.25 billion target. Recent platforms such as Integra Testing Services and LaborFirst sit in that fund.
