What Declaration Partners buys

Declaration Partners is a New York investment firm whose largest investor is David Rubenstein. It began by investing on his behalf and now also manages money for other families and institutions, reporting about $1.9 billion of assets as of June 30, 2026 across private companies, real estate and newer investment firms. Its private investments team works in two ways: platform deals, where it backs a management team to buy and grow a company in a durable industry, and growth equity, which means minority stakes in fast-growing, mostly technology companies such as Ramp, Altruist and Paxos.

The platform deals named by the firm are all in industrials and services: CP Group, a San Diego maker of recycling sorting systems bought in August 2025, LMI, a technology and consulting contractor to federal agencies, Enstructure, a marine terminal operator, and New Frontier Materials, a St. Louis aggregates business sold to Martin Marietta in May 2026. Declaration publishes no revenue, EBITDA or check size limits. A smaller company is most likely to meet it as an add-on to one of these platforms.

Greymont’s take

How Declaration Partners fits a seller

Declaration fits an owner of an industrial, logistics or government services business who is ready to sell a majority stake and wants a partner with family office roots rather than a traditional fund. The CP Group deal shows how that can look: Declaration bought a majority position, the CEO stayed to lead the company, the firm said it would keep and expand US manufacturing, and it set aside more capital for growth. Eight months later CP Group made its own add-on purchase.

Declaration does only a handful of platform deals, so most owners will meet it through one of its companies looking for add-ons. Two questions are worth asking early: how long it plans to hold the business, since it sold New Frontier Materials about five years after investing, and how the deal will be funded, since the firm invests for Rubenstein and other families and has not announced a dedicated private equity fund.

Questions owners ask

Does Declaration Partners buy controlling stakes in companies?

Yes, through its platform strategy. It bought a majority stake in CP Group in August 2025 and has backed management teams at LMI, Enstructure and New Frontier Materials. Most of its other holdings are minority growth stakes in technology companies.

Does Declaration Partners invest in waste or recycling businesses?

It owns CP Group, which designs, builds and installs sorting equipment for recycling and waste plants, and CP Group bought AI sorting company Recycleye in April 2026. It has not announced an investment in a hauling, disposal or recycling services company.

Will Declaration's companies buy smaller businesses?

Yes. Declaration said it sees CP Group as a platform for add-on acquisitions, and CP Group bought Recycleye in April 2026. Enstructure bought the assets of Mid-South Construction Materials in December 2024 to expand around Memphis.

Who is behind Declaration Partners?

David Rubenstein is its largest investor, and the firm was launched to invest on his behalf. It now also invests for other family offices and institutions and reported about $1.9 billion of assets as of June 30, 2026.
