What Wincove Private Holdings buys

Wincove Private Holdings is a Boston firm, founded in 2008 and with a second office in New York, that buys small and mid-sized industrial, business services and infrastructure services companies. Most of its companies have $20 million to $100 million of revenue when it invests, and its average is about $25 million. It usually owns at least half of a business, always alongside founders or managers who keep equity, and it uses debt only when a deal calls for it. Recent platforms include an offshore vessel operator, a chemical tank trailer dealer and lessor, and a hydro excavation truck rental company.

For most of its history Wincove has invested from a permanent capital pool, Wincove Private Holdings, LP, which has no set investment period or holding limit. In February 2026 it closed a $300 million second vehicle, Wincove Private Holdings II, with the permanent pool investing beside it. Wincove says it makes only a few new partnerships a year, so a smaller company is more likely to meet it as an add-on to a holding such as Elite.

Greymont’s take

How Wincove Private Holdings fits a seller

Wincove fits a founder who wants a long-term partner rather than a buyer planning a resale in a few years. Its permanent capital means no fund deadline forces a sale: it built FIS Water for about eight years before selling it to SPX Technologies for $410 million in 2026, and it kept minority stakes in Centerline and TowerNorth after other firms took control of them. Owners keep a real stake and usually keep running the company, as the Guice founders and John Olsta did in 2026.

The model has shifted a little. Wincove now also invests through Fund II, raised from outside investors in early 2026. An owner should ask which vehicle will own the business and whether that vehicle has a fixed term, since the promise of open-ended ownership rests on the permanent pool, and how much debt Wincove expects to use.

Questions owners ask

How is Wincove different from a typical private equity fund?

Most of its investing has come from Wincove Private Holdings, LP, an evergreen vehicle with no fixed investment period or holding limit. The firm says this lets its companies make long-term decisions and lets it wait for the best time to sell.

What size company does Wincove invest in?

It says its companies usually have about $20 million to $100 million of revenue at the time of its first investment, and its average revenue at investment is about $25 million.

Do owners keep equity after a Wincove deal?

Yes. Wincove generally owns at least 50% but always has founders or managers as co-owners. In its 2026 deals, the Guice Offshore co-founders and the Olsta owner stayed on to lead their companies.

Does Wincove buy waste or environmental services companies?

Not directly. It owns PumpOne Environmental, which makes leachate pumps for landfills, and Elite, which rents hydro excavation trucks, but neither company provides hauling, disposal or remediation services itself.
