What Validor Capital buys

Validor Capital is a Boca Raton, Florida investment firm, founded in 2012 by a longtime institutional private equity investor, that buys family and founder owned industrial, manufacturing and service companies in the lower middle market. It looks for $3 million to $25 million of EBITDA and $10 million to $150 million of revenue in the US or Canada, through buyouts, recapitalizations and corporate divestitures. Target industries are manufacturing, distribution, building products, industrial services, water, chemicals, paper and packaging, metals and engineered materials, and industrial technologies.

Validor builds its platforms through add-ons. BICO Steel, a heavy steel plate processor in Ohio, has bought four companies, most recently Diamond Metals Distribution in July 2026, and MBP Group lists six building products add-ons, from attic stairs to porch columns. In April 2026 the firm said it is hunting for wastewater and stormwater service platforms, such as sewer inspection, cleaning and trenchless repair contractors with $3 million to $25 million of EBITDA. Smaller companies are most likely to fit as add-ons to its current platforms.

Greymont’s take

How Validor Capital fits a seller

Validor suits owners of metals processing, building products and other industrial businesses who want an operations-minded partner and are open to joining a larger group. Most of its recent activity is add-ons to BICO Steel and MBP Group, so a seller in those niches would likely be merged into one of them rather than become a new platform. Owners of sewer and stormwater inspection, cleaning or trenchless rehabilitation contractors are worth a direct conversation, since the firm said in April 2026 that it wants a platform in that field and intends to keep local relationships and culture intact.

Two questions to ask: will the company keep running on its own or fold into an existing platform's operations, and what happens to its name and team? RE Metal Finishing, for example, now operates as BICO Metal Finishing.

Questions owners ask

What size company does Validor Capital buy?

Its approach page lists $3 million to $25 million of EBITDA and $10 million to $150 million of revenue, for companies based in the United States or Canada.

Is Validor Capital buying wastewater or stormwater businesses?

It is looking. In April 2026 it said it is pursuing platform investments in sewer inspection and mapping, cleaning and hydro-excavation, and trenchless rehabilitation, aimed at regional operators with $3 million to $25 million of EBITDA. Its portfolio page did not show a company in that field as of October 2026.

Does Validor Capital make add-on acquisitions?

Yes, most of its portfolio is add-ons. BICO Steel bought Pioneer Steel in April 2025 and Diamond Metals Distribution in July 2026, and the portfolio page lists six add-ons under MBP Group.
