What Valesco Industries buys

Valesco Industries is a Dallas private equity firm that has invested in family and founder-owned companies since 1993. It looks for US businesses in specialty manufacturing, value-added distribution and business services with $15 million to $100 million of revenue, a record of profits and at least $4 million of annual cash flow. It stays away from startups, real estate, financial services and turnarounds. Its current fund, Valesco Fund III, closed on $434 million in July 2023 and holds an SBIC license.

Valesco is flexible on structure. It will buy a majority stake, take a minority position or lend subordinated debt, and it often supplies both equity and junior debt in the same deal. Its 2025 and 2026 platforms, Trimlight, Five Lakes Manufacturing and NEC, were majority or control recapitalizations done alongside the founders or selling shareholders, each with another investment firm as co-investor. A smaller company is most likely to meet Valesco as an add-on to a holding such as Adams Flavors, Foods & Ingredients or North American Kitchen Solutions.

Greymont’s take

How Valesco Industries fits a seller

Valesco fits a profitable founder or family-owned manufacturer or distributor that wants to take cash out without handing over everything. Because it can buy a minority stake or provide subordinated debt as well as buy control, an owner can compare several structures with one firm. Its recent platform deals were recapitalizations done with the existing owners, and Inc. has named it to its list of founder-friendly investors in several years.

Owners should expect a buyer group, not a single firm. Valesco brought in Corinthian Capital Group on Trimlight, Brookside Capital Partners on Five Lakes, and Hidden River and GMB Capital Partners on NEC. Its 2025 and 2026 platforms were all manufacturers, so a service business should ask how often the firm closes deals outside manufacturing. Every owner should ask who will hold board seats and how much of the deal is funded with subordinated debt that the company must repay.

Questions owners ask

What size companies does Valesco Industries invest in?

Its criteria call for US companies with $15 million to $100 million of revenue, a history of profitability and at least $4 million of annual cash flow. It invests from Valesco Fund III, which closed on $434 million in July 2023.

Will Valesco take a minority stake?

Yes. Valesco says it is comfortable as either a majority or a minority partner, and it can also provide subordinated debt alongside a bank loan to pay for an acquisition or expansion without the owner giving up control.

Which kinds of businesses does Valesco avoid?

Its criteria page rules out venture and startup deals, real estate and financial services companies, and turnaround or distressed situations. It focuses on manufacturing, value-added distribution and business services companies headquartered in the United States.

Does Valesco invest alongside other firms?

Often. Each of its 2025 and 2026 platform deals included a co-investor: Corinthian Capital Group on Trimlight, Brookside Capital Partners on Five Lakes Manufacturing, and Hidden River Strategic Capital and GMB Capital Partners on NEC.
