What River Associates buys
River Associates is a Chattanooga, Tennessee private equity firm that has invested only in the lower middle market since its founding in 1989. It counts more than 130 investments and is investing its eighth fund, River VIII, which closed oversubscribed at $345 million in June 2023. River buys control of platform companies with $15 million to $100 million of revenue and $3 million to $12 million of EBITDA in the United States and Canada. Its focus is manufacturing, distribution, industrial services and business services, and recent platforms range from Diamond Wipes, a wet wipes contract manufacturer, to Horsepower Automotive Group, a maker of off-road parts and accessories.
River invests alongside management in every company and prefers that managers reinvest. It also backs outside executives who want to buy a business. It then grows each platform through add-ons and often runs the search and diligence itself. Each current company posts add-on guidance on River's portfolio page, so a business below the platform range can fit as an add-on, for example to The Rubber Group, Hoskin Group or ID Label.

Greymont’s take
How River Associates fits a seller
River Associates suits an owner of a niche manufacturing or distribution business who wants a buyer that has been doing this for more than 35 years and expects management to stay and invest alongside it. Day-to-day decisions stay with the management team, while River acts as an active board member, often adds one or two managers to the board, and sets up annual bonuses and long-term equity plans.
River sold four companies in 2026, including Pelco after four add-ons, so a seller can expect a hold of several years followed by a sale to another investor. An owner who will roll over equity should ask how long River expects to own the business and what it will need from the company to reach that exit. A smaller owner can review the add-on guidance River publishes for each current company.
Questions owners ask
What size company does River Associates buy?
For a new platform it looks for $15 million to $100 million of annual revenue and $3 million to $12 million of EBITDA, based in the United States or Canada. Smaller companies are considered as add-ons to its existing platforms.
Does the management team stay after River invests?
Yes. River invests alongside management in all of its companies, prefers that managers reinvest, leaves daily operations to them and usually puts one or two senior managers on the board.
How large is River's current fund?
River VIII, its eighth fund, closed in June 2023 with $345 million of commitments after being oversubscribed. Its previous fund, River VII, was $285 million.
Who has River sold companies to recently?
In 2026 River sold Specialty Fenestration Group to Victor Capital Partners, Pelco Solutions to Dominus Capital, Trident Solutions to Align Capital Partners and Slingmax Group to The Sterling Group, all private equity buyers.
