What TowerBrook Capital Partners buys

TowerBrook is a New York and London investment firm, founded in 2000, that reports more than $30 billion of assets under management. Its main private equity funds take control of large and midsize companies across North America and Europe, mostly services businesses in four areas: business services, consumer products and services, financial services, and healthcare. Its Structured Opportunities strategy buys minority stakes for owners who want capital and a partner without giving up control, and its Delta fund backs companies with a clear social or environmental purpose.

Most TowerBrook platforms are far bigger than a typical lower middle market company. Recent examples include the $8.9 billion take-private of R1 RCM, IT services provider CBTS and consulting firm BRG. The firm publishes no revenue or EBITDA minimum. A smaller company is most likely to meet TowerBrook as an add-on to one of its platforms. EisnerAmper, the accounting firm it backed in 2021, has completed 27 add-ons, some with as few as 15 professionals, and CBTS bought Recovery Point Systems in September 2026.

Greymont’s take

How TowerBrook Capital Partners fits a seller

TowerBrook suits owners of sizable services businesses, especially accounting, consulting, IT services and healthcare services companies, who want a well-funded partner for the next stage of growth. For most lower middle market owners, the realistic route is a sale to one of its platforms rather than to TowerBrook itself. EisnerAmper shows how that works: the partners and staff of firms such as Prague & Company, KLG Business Valuators and Sherwood Partners joined EisnerAmper and became part of a national firm. Owners who want to keep control can look at Structured Opportunities, which took a minority stake in GMC Group in 2025 while management stayed the majority owner.

An owner selling to a TowerBrook platform should ask how much of the price comes as cash versus equity in the platform, and how long TowerBrook plans to hold it. In March 2026 it moved EisnerAmper into a continuation vehicle rather than selling it.

Questions owners ask

Will TowerBrook buy a smaller company?

Usually through one of its platforms rather than directly. Its own funds target large and midsize companies, but platforms like EisnerAmper buy smaller firms often: EisnerAmper had completed 27 add-ons by March 2026, including Prague & Company, a 15-person Boston-area practice, in April 2025.

Does TowerBrook invest in IT services companies?

Yes. It completed its purchase of CBTS, a North American provider of IT infrastructure, cloud and security services, from altafiber in December 2024. CBTS then bought Recovery Point Systems, a disaster recovery and cyber resiliency provider, in September 2026.

Can an owner sell a minority stake to TowerBrook?

Yes. Its Structured Opportunities strategy makes minority investments outside a traditional buyout. In September 2025 it invested in Irish engineering firm GMC Group, and GMC's management team remained the majority shareholders.

Does TowerBrook buy accounting and consulting firms?

Yes. It backed EisnerAmper in 2021, which it describes as the first major private equity deal with a top 20 US accounting firm, made a majority investment in consulting firm BRG in February 2025, and completed the carve-out of KPMG France's chartered accountancy arm, now RYDGE, in August 2025.
