What Insignia Capital Group buys
Insignia Capital Group is a growth-focused private equity firm based in Walnut Creek, California, that invests only in founder-led companies in the U.S. and Canada. It works in two broad areas. In business services it backs tech-enabled service firms such as software development and digital transformation shops, digital marketing agencies and outsourced professional services, and its target list also names managed IT, cybersecurity and environmental services. In consumer it owns branded and private label food makers such as Chocolate Works and Century Snacks.
For a new platform it wants at least $5 million of EBITDA and $20 million of revenue, and it invests $20 million to $100 million of equity for majority or significant minority stakes. It expects founders to roll a meaningful share of their equity into the deal. Its third fund closed in October 2025 at its hard cap of more than $500 million. Smaller companies usually join as add-ons, which platforms such as New Engen and Chocolate Works buy regularly.

Greymont’s take
How Insignia Capital Group fits a seller
Insignia suits founders of tech-enabled service firms, such as software development, digital agency or IT services businesses, and of consumer food brands, who want growth capital and plan to keep a large stake. It asks for significant rollover, says management owns more than 30% of its companies on average, and reports that 88% of founders or CEOs stayed through its ownership. Founders who want to sell only part of the business have an option: in 2025 it invested in Tidal without changing who holds the majority. Expect an active acquisition plan, since its companies have completed 26 add-ons. Owners should ask how much of the proceeds must be reinvested and whether the deal would be majority or minority. An IT services owner below $5 million of EBITDA is more likely to fit as an add-on to a platform such as Dualboot or Fueled than as a new platform.
Questions owners ask
What is Insignia's minimum company size?
For a new platform it looks for at least $5 million of EBITDA and $20 million of revenue, with an equity investment of $20 million to $100 million. Smaller businesses can still join one of its existing platforms as an add-on.
Does Insignia buy IT services companies?
Yes. Its focus list includes managed IT, cybersecurity, data and AI consulting, and digital transformation services. It currently owns Dualboot Partners, a software design and development services firm, and Fueled, a digital transformation agency that merged with 10up in 2023.
Do founders have to keep a stake?
Generally yes. Insignia looks for significant owner or founder rollover and says management owns more than 30% of its companies on average, so a founder should expect to reinvest part of the sale proceeds.
Does Insignia take minority stakes?
Yes. It makes both majority and significant minority investments. In September 2025 it recapitalized Tidal Financial Group, an ETF services platform, while leaving Tidal's existing majority ownership and leadership in place.
