What GI Partners buys

GI Partners is a San Francisco investment firm, founded in 2001, whose private equity group buys North American middle market companies in three areas: healthcare, services and software. It puts in initial equity of up to $1.5 billion for businesses valued at up to $2 billion when it invests, and it usually takes majority or co-control positions alongside management. Its most recent flagship fund, GI Partners Fund VI, closed in June 2021 with $3.9 billion.

Its current companies show what services means for GI: American Residential Services in residential HVAC and plumbing, Valet Living in doorstep trash collection for apartment communities, HES Facilities Management in school janitorial and grounds work, Single Digits and Flexential in managed networks and data centers, Atlas Technical Consultants in infrastructure testing and engineering, and Patriot Growth Insurance Services in insurance brokerage. The software side includes MRI Software, Egnyte and Sectigo. A smaller company is most likely to meet GI as an add-on to one of these platforms, since GI lists programmatic M&A as a core growth tool.

Greymont’s take

How GI Partners fits a seller

GI Partners is a large buyer, so most owners will meet it through an existing platform rather than as a new investment. That makes it most relevant to owners of HVAC and plumbing contractors, insurance agencies, facilities and janitorial companies, valet trash and multifamily service providers, managed network and IT infrastructure firms, and vertical software businesses that could join American Residential Services, Patriot Growth, HES, Valet Living, Single Digits or one of its software companies. Its June 2026 HES deal was a majority investment that kept the existing leaders in place.

GI tends to hold companies for years and has used continuation vehicles and partial sales to stay invested, as it did with Flexential in 2024 and 2025 and Clinical ink in 2026. Owners selling into a GI platform should ask how long GI expects to own it, what the plan is for the next sale, and how rollover equity is treated.
