What Cottonwood Acquisitions buys

Cottonwood Acquisitions is a family office partnership, formed in 2010, that buys small and mid-sized companies and plans to own them for the long term. It invests up to $15 million of equity per deal and takes control. It looks for business services, manufacturing and distribution companies with repeat customers and steady sales and margins. Its criteria page names specific interests: distribution of hardware, janitorial, propane, pet and safety products; water testing and treatment; autism therapy and other healthcare services; testing and calibration; route-based grease and waste collection; legal support work such as court reporting; e-commerce; and niche manufacturing such as reusable shipping containers.

Cottonwood says it will buy a business with or without a management team in place and is comfortable when the seller wants to retire. Companies on its investments page include a Long Island maker of wall panel systems, a road case manufacturer, a Florida propane supply distributor, a fiber optic component maker, a pool and spa parts e-commerce seller and a private duty nursing business.

Greymont’s take

How Cottonwood Acquisitions fits a seller

Cottonwood fits owners of smaller, steady businesses who want to sell outright and step back, including owners with no successor in place. The firm says plainly that it is comfortable when the seller is retiring, and one partner ran two of its early companies himself as CEO until 2018, so the partners have stepped into operating roles before. As a family office partnership, it describes a long-term holding period rather than the fixed life of a fund.

Cottonwood does not publish deal news, and its investments page does not say which companies it still owns. An owner should ask how many companies it holds today, how it would pay for the purchase (partner capital, outside investors or bank debt), and who would run the business after closing.
