What Camden Partners buys

Camden Partners is a growth equity firm that David Warnock founded in 1995 after leaving T. Rowe Price. It is based in Owings Mills, Maryland, outside Baltimore, and has invested in 86 companies across six funds, most recently the $100 million Strategic Partners Fund VI, which closed in June 2020. Most of its current holdings are software or tech-enabled services companies, such as Harver (hiring software), Viventium (payroll and HR for post-acute care) and Ingo (payments), with a smaller group in education and one in healthcare services.

Its main strategy takes control-oriented stakes in profitable, recurring-revenue companies with $10 million to $50 million or more of revenue, enterprise values of $10 million to $150 million and growth of about 20% a year, using equity checks of $5 million to $15 million. A second strategy, Structured Capital, puts $1 million to $10 million of structured equity or convertible notes into technology companies with at least $10 million of revenue. Its recent deals are add-ons bought by its software companies, so a small software firm may meet Camden as a tuck-in.

Greymont’s take

How Camden Partners fits a seller

Camden fits founders of software or tech-enabled services companies that already have recurring revenue, positive cash flow and steady growth, and who want capital without giving up as much ownership as a large round would take. The firm says its check sizes suit owner-operators who are sensitive to dilution, and its Structured Capital option exists for cases where a normal growth round does not fit, such as a bootstrapped company or a messy cap table. Owners of traditional field-service businesses are a weaker fit; Camden's one dealership services holding, Pinnacle Automotive, dates from its fifth fund.

Camden has not announced a new platform investment since 2022, and its latest fund closed in 2020. An owner should ask how much capital Camden has left to invest, whether a new fund is planned, and what board and control rights come with its control-oriented growth deals.
