What Mountaingate Capital buys

Mountaingate Capital is a Denver private equity firm that backs founder-owned companies in the lower middle market and grows them through add-on acquisitions. It looks for platforms with $5 million to $25 million of EBITDA in four areas: digital and data-driven marketing services, business services, specialty manufacturing and specialty distribution. Today most of its companies are marketing and commerce agencies, such as Walker Sands, Podean, Ignite Visibility and UpSwell, alongside research data firm Rep Data and wound care maker Bravida. It says the founder has reinvested alongside it in every deal, and it offers equity to key employees who are not owners.

It invests from committed funds raised from institutions such as foundations, insurers and pension systems. Fund III closed at its $570 million hard cap in January 2025, lifting assets under management above $1.4 billion, and had made four platform investments by March 2026. The firm counts more than 115 investments led by its team. A company below $5 million of EBITDA is most likely to meet Mountaingate as an add-on to one of its platforms.

Greymont’s take

How Mountaingate Capital fits a seller

Mountaingate is a strong fit for founders of marketing agencies, commerce and retail media firms, and research or data businesses, and a reasonable one for specialty manufacturers. It expects the founder to reinvest, so a sale usually means taking much of the value now and keeping a real stake for a second sale. Founders and leaders often stay in charge: Harvest Group's CEO kept running the company after the March 2026 growth investment, and UpSwell's CEO and founder both stayed on.

Exits have gone to both strategic buyers and other private equity firms, including Mars United Commerce to Publicis Groupe in 2024, Bold Orange to Beringer Capital in 2025 and Damotech to Vance Street Capital in 2025, the last after about two years. An owner should ask how much equity they would roll, how long the firm expects to hold, and how the add-on plan would be paid for.

Questions owners ask

What size company does Mountaingate Capital invest in?

For new platform companies it targets $5 million to $25 million of EBITDA. Smaller businesses usually join as add-ons; its platforms announced ten add-ons between April 2025 and June 2026.

Does the founder have to reinvest with Mountaingate?

Mountaingate says the founder reinvested alongside it in every deal it has done, and it also offers equity to valued employees who are not current owners. Expect a rollover to be part of any offer.

What is Mountaingate's latest fund?

Mountaingate Capital Fund III closed at its $570 million hard cap in January 2025 after less than three months in market. Its platforms so far include Podean and Commerce Canal (August 2025), Walker Sands (October 2025) and UpSwell (March 2026).
