What Bessemer Investors buys

Bessemer Investors is a New York private equity firm, launched in 2018, that invests capital committed by the Phipps family. It is separate from Bessemer Venture Partners and does buyouts, not venture deals. It looks for growing, market-leading companies in industrials (flow control, value-added distribution, industrial services, packaging), business services (facility and support services, testing and inspection, outsourcing, insurance services) and consumer (residential services, pet products, food and beverage, franchise and multi-site businesses). Its target is $5 million to $50 million of EBITDA, or $75 million to $500 million of enterprise value, with equity checks of $50 million to $150 million or more.

Bessemer mostly takes control and will consider a minority stake selectively. It buys from founders, families, employees, sponsors and corporate parents based in North America, and with no fund end date it sells when the timing suits the business. A smaller company is most likely to meet Bessemer as an add-on, which can be any size. Tencarva, its pump and valve distributor, has bought four businesses since January 2025.

Greymont’s take

How Bessemer Investors fits a seller

Bessemer suits the owner of a mid-sized industrial, services or consumer business who wants an experienced private equity partner but is wary of a fund that must sell on a fixed schedule. It says it charges no portfolio company fees, buys the same class of shares as management, and leaves day-to-day running of the business to the existing team. In its two most recent platform deals the leader stayed on: founder Matthew Whelan at W Services and CEO Dave Crothall at Xanitos. Its recent exits went to strategic buyers, including Leonard Valve to A. O. Smith in January 2026 after about six years.

Owners of smaller pump, valve and water equipment distributors should look at Tencarva, which has kept sellers' teams in place in its add-ons. Ask how long Bessemer expects to hold, and how much equity you and your managers can keep or earn through its incentive plans.

Questions owners ask

What size company does Bessemer Investors buy?

Its stated range is $5 million to $50 million of EBITDA, or about $75 million to $500 million of enterprise value, with equity checks of $50 million to $150 million or more. Add-ons for its existing companies can be any size.

Is Bessemer Investors the same as Bessemer Venture Partners?

No. Both trace back to the Phipps family's Bessemer Securities, but Bessemer Venture Partners is a venture capital firm. Bessemer Investors, launched in 2018, makes private equity investments, mainly control buyouts of established companies.

Does Bessemer have a set holding period?

No. Its capital comes from the Phipps family rather than a traditional fund, so it says it neither works to a preset timeline nor plans to hold forever. It aims to sell when the timing is best; it held Leonard Valve from 2019 to January 2026.

Does management stay after Bessemer invests?

In its recent platform deals, yes. Founder and CEO Matthew Whelan kept leading W Services after the 2024 investment, and CEO Dave Crothall kept leading Xanitos after the December 2025 deal. Bessemer describes itself as a partner, not an operator.
