What Mill Road Capital buys

Mill Road Capital is a Greenwich, Connecticut firm, founded in 2004, that brings a private equity approach to small public companies. Its funds build large stakes in listed companies and work with management, provide structured capital to help a public company grow or pay down debt, and sometimes use a big shareholding as the path to taking a company private. Its current fund, Mill Road Capital III, is focused mainly on public equity positions.

Private, owner-held businesses are a small part of its work and are hard to see from the outside. A team bio calls Mother's Market & Kitchen, a Southern California natural foods grocer it still owns, a private equity investment, and the firm also backed Lignetics, a wood pellet maker, with structured capital before exiting. Its holdings lean toward consumer brands, restaurants and food, with some manufacturing and industrial names. Mill Road does not publish size criteria. It favors long diligence and long holding periods.

Greymont’s take

How Mill Road Capital fits a seller

Mill Road is an unusual fit for a founder selling a private company. Most of its capital goes into shares of small listed companies, and its recent activity is public-market work, such as the January 2026 agreement that gave it a board observer at Alta Equipment Group, where it owned about 13.4% of the stock. An owner of a private consumer, restaurant or food business could still find it a patient partner: the firm says its committed capital lets management focus on the long term, and it has kept Skullcandy since taking it private in 2016.

An owner who talks to Mill Road should ask whether its current fund can make a private investment at all, whether it would buy control or provide structured capital instead, and how long it expects to hold the business.

Questions owners ask

Does Mill Road Capital buy private companies?

Rarely. Its funds mostly buy shares of small public companies, provide structured capital to them or take them private. A team bio describes Mother's Market & Kitchen as a private equity investment, and one of its managing directors works on all of its private company financings.

What industries has Mill Road invested in?

Mostly consumer businesses: Skullcandy headphones, R.G. Barry's Dearfoams slippers and Baggallini bags, Noodles & Company and Rubio's restaurants, Mother's Market grocery stores and Swiss Water decaf coffee. It also backed Lignetics wood pellets and PRT forest seedlings.

How long does Mill Road hold its investments?

It describes its capital as long term and committed. It took Skullcandy private in 2016 and still lists it as a current holding, and it held PRT Growing Services for several years before selling it in August 2018.
